Please read these Terms of Service (“Terms”) carefully before using ESLuent.com (“the Site,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Site.

1. Acceptance of Terms

By creating an account, purchasing a subscription, or otherwise accessing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Continued use of the Site following any such modifications constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to create an account independently. Individuals under the age of eighteen may use the Site only with the consent and supervision of a parent or legal guardian. By creating or authorizing an account for a minor, the parent or legal guardian agrees to be bound by these Terms on the minor’s behalf, accepts full responsibility for the minor’s use of the Site, and represents that he or she has the legal authority to do so.

3. Account Registration and Security

Certain features of the Site may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. 4. Subscriptions and Payment

The Site may offer subscription-based services. By purchasing a subscription, you authorize us to charge the applicable fees to your designated payment method on a recurring basis until you cancel. All fees are quoted in the currency indicated at the time of purchase and are non-refundable except as expressly stated herein or as required by applicable law.

We reserve the right to change subscription fees at any time upon reasonable notice. Such changes will take effect at the start of your next billing cycle following the date of the notice.

5. Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, subject to these Terms. You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
• Reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content or materials on the Site without prior written consent;
• Interfere with or disrupt the integrity or performance of the Site, its servers, or connected networks;
• Attempt to gain unauthorized access to any portion of the Site, other accounts, or any systems or networks connected to the Site;
• Use automated scripts, bots, scrapers, or similar tools to access or collect data from the Site.

6. Intellectual Property

All content, features, and functionality on the Site — including but not limited to text, graphics, logos, icons, images, audio, video, software, and the overall design and arrangement thereof — are the exclusive property of ESLuent.com or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in such materials except for the limited license set forth in Section 5.

7. User-Generated Content

If the Site permits you to submit, post, or otherwise transmit content (“User Content”), you retain ownership of such User Content. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation of the Site. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe or violate the rights of any third party.

8. Third-Party Services and Links

The Site may contain links to or integrations with third-party websites, services, or resources. We do not endorse and are not responsible for the content, products, or practices of any third-party sites or services. Your use of such third-party resources is at your own risk and subject to the terms and conditions of those third parties.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THEREIN ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ESLUENT.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless ESLuent.com, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your User Content, or your violation of these Terms.

12. Termination

We may, in our sole discretion, suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ESLuent.com is principally operated, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority, unless you opt out within thirty (30) days of first accepting these Terms by providing written notice to us. Nothing herein shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ESLuent.com regarding your use of the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us with respect to the Site.
